My experience includes advising on:

• the incorporation and reorganisation of captive insurance companies and reinsurance companies (including segregated portfolio companies and portfolio insurance companies), together with the related applications to the Cayman Islands Monetary Authority (CIMA);
• a reinsurance transaction being entered into between a Cayman Class B(iii) re-insurer and a Nebraska captive company, including providing input on draft business plans and the application to CIMA, together with drafting the relevant corporate documents;
• a number of acquisitions, investments and reorganisations involving regulated entities, including the investment in Walkers Professional Services by Vitruvian Partners, the acquisition of a majority stake in the Five Continents Group by RFA Capital and the acquisitions by JTC (the global professional services business) of FFP (a provider of specialist fiduciary services to funds, trusts and corporate clients) and Citi's trust and fiduciary business, together with the related applications to CIMA;
• a number of transactions including local companies, including related applications to the Trade and Business Licensing Board;
• lending transactions and borrowing transactions, deal structures and on all types of secured transactions;
• client's ongoing compliance obligations, general company law and corporate governance provisions and requirements; and
• company incorporations, strike-offs, maintenance of statutory registers, board and shareholder resolutions/meetings, share capital changes, changes to board members and annual/extraordinary general meetings along with the company secretarial aspects of transactional matters to include corporate restructurings and due diligence exercises.

• nAperte DAC t/a Omnium, an investment platform, on the investment by Shard Capital International, a leading asset and wealth manager;
• Shutterstock Inc, a leading global creative platform, on its acquisition of the Irish business of PicMonkey, a leading online graphic design and image editing platform, the wider transaction valued at $110 million;
• Sitecore Inc, a customer experience management company, on its acquisition of Boxever, a SaaS-based Customer Data Platform;
• Majesco Inc, a global provider of cloud insurance platform software on its acquisition of ClaimVantage, a global provider of enterprise claims software;
• Speed Fibre Group, an Irish investment vehicle focused on telecoms infrastructure and communications service provision, on its acquisition of Magnet Networks Limited, Ireland's largest connectivity network;
• Irving Oil on the re-organisation of the Tedcastles Group, including reviewing the proposed structure from a company law perspective and drafting the relevant documents to implement the re-organisation;
• the re-organisation of the Speed Fibre Group, including reviewing the proposed structure from a company law perspective and drafting the relevant documents to implement the re-organisation;
• acquisition of Weston Airport in Leixlip, Dublin, Ireland, including taking a lead role in managing the buy-side due diligence and preparing initial and subsequent drafts of transaction documents;
• the 101-bed Sports Surgery Clinic, a centre of excellence for joint replacement and surgery for sports soft tissue injuries in Ireland, and its shareholders in connection with the sale of the Sports Surgery Clinic to UPMC, a world-renowned health care provider and insurer;
• Orpea S.A., the world's biggest publicly traded nursing home group by revenue, on a number of nursing home acquisitions in Ireland, including the Brindley Healthcare Group, Belmont Care Nursing Home, Athlunkard Nursing Home and Kilbrew Recuperation & Nursing Care;
• DIF Capital Partners, a Dutch investment fund, on the acquisition of Newpark Care Centre Nursing Home in north Dublin and Ashford House Nursing Home in Dun Laoghaire; and
• Warsteiner AG, on its multi-million investment in Rye River Brewing Company, including taking a lead role in managing the investment-side due diligence process and negotiating transaction documents.
